Notice of Annual Meeting/Proposed IPSA Bylaws changes
For 2009-2010
Please make note that the Annual Meeting of the members of the Independent Professional Seed Association is scheduled for Wednesday, January 21, 2009 at the Westin Hotel in Indianapolis, Indiana. This meeting is being held in conjunction with IPSA's 20th Annual Conference.
Please find attached the IPSA Bylaws with a number of changes proposed for your consideration at this year's Annual Meeting. These changes have been reviewed and deemed appropriate by the IPSA Board of Directors.
The following list highlights each proposed bylaws change:
- 1. Article II, Section 1 - Changes to make the definition of Regular Members and Affiliate members more consistent with trends in the seed industry.
- 2. Article II, Section 8 - Inconsistencies regarding issuance of membership certificates (Also see Article VIII, Section 1 & 2).
- 3. Article IV, Section 2 - Inconsistencies regarding employment qualifications for members of the IPSA Board of Directors.
- 4. Article V, Section 4-8 - No provision for CEO. Additionally, several responsibilities listed for Officers are reassigned to the CEO position.
- 5. Article VI, Section 4 - Establishes responsibilities for First Vice President (Business Development Comm. Chair) and Second Vice President (Membership Comm. Chair)
- 6. Article VII and VIII - Delete references to assistant treasurer or assistant secretary.
- 7. Article XI, Section 2 - No provision for prorating dues throughout membership year.
